Six-month Operating Results

During the six-month period ended June 30, 2013, the Company produced 48,752 barrels of oil and sold 49,204 barrels for total oil sales of $5,277,878, with an average oil sale price of $107.27 per barrel. Total recorded production revenue, net of a 5% royalty payable to the New Zealand Government (an average of $4.94 per barrel), was $5,034,958. Production costs during the six-month period ended June 30, 2013 totalled $3,307,876, or an average of $67.23 per barrel, generating an average field netback of $35.10 per barrel during the period. NZEC calculates the netback as the oil sale price less fixed and variable production costs and a 5% royalty. The notable reduction in netback during the six-month period ended June 30, 2013, is predominantly the result of decreased oil production. As previously announced, the Company had shut in the Waitapu-2 well during May 2013 in order to gather critical data for the Mt. Messenger reservoir study (see Reservoir Study) and to evaluate and install artificial lift.

The Company undertook a number of reservoir and production tests with the objective of optimizing oil production, and these tests have added to production costs. During the six-month period ended June 30, 2013, fixed production costs represented approximately 84% of total production costs. Installation of the Copper Moki surface facilities was completed in May and, as expected, this resulted in a reduction in production costs for the Copper Moki site during the month of June 2013, as discussed under June Operating Results - Copper Moki Site Only. Although shutting in the Waitapu-2 well in May 2013 reduced some of the fixed operating costs, the Company continues to incur costs on that site.

Three-month Operating Results

During the three-month period ended June 30, 2013, the Company produced 18,573 barrels of oil and sold 21,958 barrels for total oil sales of $2,216,815, with an average oil sale price of $100.96 per barrel. Total recorded production revenue, net of a 5% royalty payable to the New Zealand Government (an average of $4.88 per barrel), was $2,109,700. Production costs during the three-month period ended June 30, 2013 totalled $1,616,471, or an average of $73.62 per barrel, generating an average field netback of $22.46 per barrel during the period.

As demonstrated in Six-month Operating Results, reduced production following the shut-in of Waitapu-2 greatly impacted the three-month netback results, although this was partially offset by reduced production costs related to the Copper Moki site following the commissioning of surface facilities (see June Operating Results - Copper Moki Site Only).

June Operating Results - Copper Moki Site Only

The Company is starting to see the positive effect on production costs of installation of surface facilities as reflected in reduced production costs related to the Copper Moki site during June 2013. Following the commissioning of surface facilities on the Copper Moki site in May 2013, the Company incurred direct production costs of approximately $165,000 to produce 4,740 barrels of oil, which amounted to $34.81 per barrel during the month of June 2013, a significantly lower production cost per barrel than the quarterly average of $73.62 per barrel. This is also comparable to management's estimate of well-site production costs of NZ$40 per barrel as assumed in management's forecast of cash flows from operations referenced in the Company's August 6, 2013 press release.

Considering the proportion of fixed production costs reported for the quarter ended June 30, 2013, as well as netbacks reported in prior periods, the direct production costs per barrel is reflective of the economies of scale. Thus, further savings should arise from higher production levels from future developments.

At August 26, 2013, the Company had an estimated $4.6 million in net working capital.

ACQUISITION OF INTEREST IN UPSTREAM AND MIDSTREAM ASSETS

As previously announced, the Company has entered into an agreement with Origin Energy Resources NZ (TAWN) Limited ("Origin") to acquire three (net) petroleum mining licences in the Taranaki Basin totalling 23,049 acres (93.3 km2) - the Tariki, Waihapa and Ngaere Licences (the "TWN Licences") - as well as the Waihapa Production Station and associated gathering and sales infrastructure (the "TWN Assets"). On August 12, the Company announced that Origin had agreed to extend the deadline for satisfying the financing condition precedent for the acquisition from August 14, 2013 to September 30, 2013, and to extend the deadline for obtaining the required government approvals from September 13, 2013 to October 14, 2013. In exchange, the Company agreed to increase its acquisition deposit to $6 million.

L&M Letter Agreement to Form Joint Arrangement

On July 30, 2013, the Company announced that it had entered into a binding agreement (the "L&M Letter Agreement") with L&M Energy ("L&M") to form a 50/50 joint arrangement to explore, develop and operate the TWN Licences and the TWN Assets. Once the joint arrangement is completed, the Company and L&M will each own 50% of the TWN Licences and will also hold a 50% interest in the TWN Assets (the "TWN Joint Arrangement"). The reserves and resources estimated for the TWN Licences, as announced on June 17, 2013, will be attributable to NZEC on a 50% basis upon closing of the acquisition and the TWN Joint Arrangement, and filing of an updated reserve report.

Under the terms of the L&M Letter Agreement, L&M will contribute $18.25 million towards the approximately $33.5 million purchase consideration agreed to under the Origin Sale and Purchase Agreement, in order to obtain a 50% interest in the TWN Joint Arrangement. L&M will also contribute 50% of all future development and operating expenditures.

The Company will become the operator of the TWN Joint Arrangement, and decisions regarding exploration, development and operations of the TWN Joint Arrangement will be made by management committees with equal representation from both the Company and L&M.

The Company will be responsible for funding the $15.25 million balance of the $33.5 million purchase consideration agreed to under the Origin Sale and Purchase Agreement. The Company has paid a $6 million acquisition deposit to Origin, leaving $9.25 million to be funded to complete the acquisition.

The concurrent completion of the acquisition and the L&M Letter Agreement is subject to the Company placing the remainder of the purchase price into an escrow account by September 30, 2013, Origin and Contact consenting to L&M becoming a party to the definitive agreements, as well as receiving the relevant government approvals.

PROPERTY REVIEW

Taranaki Basin

The Taranaki Basin is situated on the west coast of the North Island and is currently New Zealand's only oil and gas producing basin, with total production of approximately 130,000 barrels of oil equivalent per day ("boe/d") from 18 fields. Within the Taranaki Basin, NZEC holds a 100% interest in the Eltham Permit, a 65% interest in the Alton Permit in joint arrangement with L&M, and a 60% interest in the Manaia Permit in joint arrangement with New Zealand Oil & Gas ("NZOG"). The Eltham Permit covers approximately 93,166 acres (377 km2) of which approximately 31,877 acres (129 km2) are offshore in shallow water. The Alton Permit covers approximately 119,204 onshore acres (482 km2). The Manaia Permit covers approximately 27,426 onshore acres (111 km2) and was granted to NZEC and NZOG in December 2012 as part of the annual New Zealand block offer for exploration permits.

NZEC also expects to acquire 50% of the three TWN Licences and to hold a 50% interest in the TWN Assets upon completion of the acquisition of assets from Origin, as outlined in Acquisition of Interest in Upstream and Midstream Assets.

Production

At the date of this MD&A, three of the Company's four commercially producing wells are in active production. The Waitapu-2 well is currently shut in and installation of artificial lift and surface facilities is underway. During the quarter, the Company also temporarily shut-in its Copper Moki-3 well to replace the down-hole pump, which seized as a result of fines settling in the pump during commissioning of the Copper Moki surface facilities. The wells are producing light oil that is trucked to the Shell-operated Omata Tank Farm and sold at Brent pricing. Cumulatively, as of the date of this report, the Company has produced approximately 264,938 barrels of oil, with cumulative pre-tax oil sales of approximately $28.5 million, including sales from oil produced during testing (net results of operations are discussed under Results of Operations). The wells have consistently produced between 123 bbl/d and 162 bbl/d since July 1, 2013, with an average production rate of 144 bbl/d, indicating that oil production from the Copper Moki wells appears to have stabilized. Over 26 production days in August 2013, the wells have collectively produced oil at an average rate of 139 bbl/d and extracted gas at an average rate of 490 mcf/d. The Company is not yet generating cash flows from extracted gas.

Copper Moki-1 has been producing since December 10, 2011, Copper Moki-2 since April 1, 2012 and Copper Moki-3 since July 2, 2012. All three wells produce ~41° API oil from the Mt. Messenger formation and flowed from natural reservoir pressure until October 2012, when NZEC installed artificial lift (pump jacks) to stabilize production rates.

Waitapu-2 commenced production on December 20, 2012 and was shut-in in May 2013 as described above. The well produces ~40° API oil from the Mt. Messenger formation and flowed from natural reservoir pressure until shut-in. Installation of artificial lift is currently underway. In addition to installation of artificial lift, during the period the Company ran down-hole gauges into Waitapu-2 that measures the bottom hole temperature and pressure of the reservoir. These data were critical to the recently completed Mt. Messenger reservoir study (see below).

Reservoir Study

Production declines from the Copper Moki wells have been greater than expected and this prompted the Company to initiate an independent reservoir study through RPS Group PLC, a world leader in well evaluation. The study provided the Company with a better understanding of reservoir characteristics and declines, based on data from Waitapu-2, the three Copper Moki wells, and other Mt. Messenger wells in the region.

The RPS study concluded that declines are not related to wax buildup or mechanical issues. Information from the study and from a proprietary database merging five 3D seismic surveys has allowed the Company to refine its Mt. Messenger exploitation strategy, which includes:

Choosing optimally sized targets based on interpretation of the merged 3D dataset, Reducing costs by drilling multiple wells from each pad, and Prioritization of targets close to the Waihapa Production Station to expedite tie-in.

The Mt. Messenger formation remains an integral part of the Company's development plans, as described in the Outlook section. These development plans include the Horoi-1 well, which is expected to be drilled later this year on the Alton Permit.

Application for Eltham Petroleum Mining Permit

During the quarter ended June 30, 2013, the Company lodged an application for a petroleum mining permit that will have an initial duration of 15 years. This petroleum mining permit will cover 18.73 km2 within the area currently included under the Company's Eltham Permit and includes all sites on which the Company had previously drilled its ten exploration wells (i.e. the Copper Moki site, Waitapu site, Arakamu site, and the Wairere site). A successful application for the petroleum mining permit will extend the duration that the Company is able to operate within the area covered by the permit, and will also reduce the surface area within the existing Eltham Permit that will be subject to relinquishment in September 2013 when the Eltham Permit is due for extension.

East Coast Basin

The East Coast Basin of New Zealand's North Island hosts two prospective oil shale formations, the Waipawa and Whangai, which are the source of more than 300 oil and gas seeps. Within the East Coast Basin, NZEC holds a 100% interest in the Castlepoint Permit, which covers approximately 551,042 onshore acres (2,230 km2), and a 100% interest in the Ranui Permit, which covers approximately 223,087 onshore acres (903 km2) and is adjacent to the Castlepoint Permit. NZEC is considering relinquishing the Ranui Permit but has not yet made a definitive decision in this regard. On September 3, 2010, NZEC applied to the Minister of Energy to obtain a 100% interest in the East Cape Permit. The application is uncontested and the Company expects the East Cape Permit to be granted to NZEC upon completion of New Zealand Petroleum & Minerals' ("NZPAM") review of the application. The East Cape Permit covers approximately 1,067,495 onshore acres (4,320 km2) on the northeast tip of the North Island. In addition, NZEC has entered into a binding agreement with Westech to acquire 80% ownership and become operator of the Wairoa Permit, which covers approximately 267,862 onshore acres (1,084 km2) south of the East Cape Permit. Preliminary approval of transfer of ownership was obtained from NZPAM on December 20, 2012 and formation of a joint arrangement with Westech is subject to final NZPAM approval.

The Company has completed the coring of two test holes on the Castlepoint Permit. The Orui (125 metres total depth) and Te Mai (195 metres total depth) collected core data across the Waipawa and Whangai shales. NZEC also completed a test hole on the Ranui Permit. Ranui-2 was drilled to 1,440 metres, coring the Whangai shale across several intervals. In Q2-2012, NZEC completed 70 line km of 2D seismic data across the Castlepoint and Ranui permits to further its technical understanding of the area and identify targets for exploration in 2013.

The Wairoa Permit has been actively explored for many years, with extensive 2D seismic data across the permit and log data from more than 15 wells drilled on the property. Historical exploration focused on the conventional Miocene sands. NZEC's technical team has identified conventional opportunities as well as potential in the unconventional oil shales that underlie the property. NZEC's team knows the property well and provided extensive consulting services (through the consulting company Ian R Brown Associates) to previous permit holders, assisting with seismic acquisition and interpretation, well-site geology and regional prospectivity evaluation. In addition, NZEC's team assisted with permitting and land access agreements and worked extensively with local district council, local service providers, land owners and iwi groups, allowing the team to establish an excellent relationship with local communities. During Q1-2013 the Company completed a 50 km 2D seismic program on the property, the results of which are currently being processed and reviewed and will help to identify exploration targets on the permit.

OUTLOOK

On August 6, 2013, the Company announced its updated plans to develop its oil and gas assets in the Taranaki Basin, including its plans for exploration and development of the TWN Licences and integration of the TWN Assets. Completing the acquisition of the TWN Licences and TWN Assets will be transformative for NZEC, resulting in a fully integrated upstream/midstream company with the cash flow, infrastructure and inventory to support long-term growth.

Taranaki Basin

Owning 50% of the TWN Assets and TWN Licences will allow NZEC to optimize development of its existing permits. The gas supply that NZEC has identified to reactivate gas lift and production from existing Tikorangi wells on the TWN Licences will provide the blending gas required to deliver NZEC's Copper Moki gas to market, bringing additional cash flow to NZEC from the Copper Moki wells. The Company also plans to build a pipeline to connect the Waitapu-2 well to the Copper Moki site and is currently evaluating the economics of this initiative. The pipeline would effectively tie in the Waitapu gas production (and associated liquefied petroleum gas or "LPG") into the Waihapa Production Station via the Copper Moki pipeline.

As NZEC continues to explore the Eltham and Alton permits, the Company will focus on drill targets that are close to the Waihapa Production Station and associated pipelines, allowing for rapid and cost effective tie-in of both oil and gas production.

NZEC has prepared a detailed financial and production model outlining the exploration and development program for its Taranaki assets that has allowed the Company to forecast the impact of those activities on its production and cash flow. NZEC's activities planned to the end of 2014 in the Taranaki Basin are outlined in the table below:

The forecast on which the above information is based reflects management's mid-case production assumptions, while capital costs indicate management's net share of the capital cost to be incurred by the TWN Joint Arrangement.

Development and operating costs in the first 12 months following the date of this report are to be funded initially by existing working capital and cash flows from production. However, in order to carry out all of the planned development activities, the Company is considering a number of options to increase its financial capacity. These options include increasing cash flow from oil production, additional joint arrangements, commercial arrangements or other financing alternatives. For the assumptions related to the production forecast, refer to the full Management's Discussion & Analysis filed on the Company's website and on SEDAR.

East Coast Basin

NZEC has drilled two stratigraphic holes on its 100% working interest Castlepoint Permit and one stratigraphic hole on its 100% working interest Ranui Permit. These three stratigraphic test wells have advanced NZEC's understanding of the Waipawa and Whangai formations. A review of the geochemical and physical properties of the two shale packages, coupled with information from seismic data, has focused NZEC's exploration strategy for the area. The Company is actively seeking a joint venture partner for its East Coast permits. The Company is currently considering its plans for the Ranui Permit, including possible relinquishment of the permit.

NZEC has applied to NZPAM to extend the deadline for drilling the exploration well on the Castlepoint Permit to Q2-2014, while the Company continues to work towards obtaining the requisite consents and land access agreements for the Castlepoint Permit drill locations. The Company has met regularly with local communities to discuss its exploration plans.

NZEC completed a 50-km 2D seismic survey on the Wairoa Permit in Q2-2013 and is currently processing the data. The Company will finalize its exploration plans for the permit after reviewing all of the seismic and well log data.

The Company's application for the East Cape Permit is uncontested and NZEC expects the permit to be granted upon completion of NZPAM's review of the application.

CAUTIONARY NOTE REGARDING RESERVE ESTIMATES

The oil and gas reserves calculations and income projections were estimated in accordance with the Canadian Oil and Gas Evaluation Handbook ("COGEH") and National Instrument 51-101 ("NI 51-101"). The term barrels of oil equivalent ("boe") may be misleading, particularly if used in isolation. A boe conversion ratio of six Mcf: one bbl was used by NZEC. This conversion ratio is based on an energy equivalency conversion method primarily applicable at the burner tip and does not represent a value equivalency at the wellhead. Reserves are estimated remaining quantities of oil and natural gas and related substances anticipated to be recoverable from known accumulations, as of a given date, based on: the analysis of drilling, geological, geophysical, and engineering data; the use of established technology; and specified economic conditions, which are generally accepted as being reasonable. Reserves are classified according to the degree of certainty associated with the estimates. Proved Reserves are those reserves that can be estimated with a high degree of certainty to be recoverable. It is likely that the actual remaining quantities recovered will exceed the estimated proved reserves. Probable Reserves are those additional reserves that are less certain to be recovered than proved reserves. It is equally likely that the actual remaining quantities recovered will be greater or less than the sum of the estimated proved plus probable reserves. Possible Reserves are those additional reserves that are less certain to be recovered than probable reserves. There is a 10% probability that the actual remaining quantities recovered will exceed the sum of the estimated proved plus probable plus possible reserves. Revenue projections presented are based in part on forecasts of market prices, current exchange rates, inflation, market demand and government policy which are subject to uncertainties and may in future differ materially from the forecasts above. Present values of future net revenues do not necessarily represent the fair market value of the reserves evaluated. The report also contains forward-looking statements including expectations of future production and capital expenditures. Information concerning reserves may also be deemed to be forward looking as estimates imply that the reserves described can be profitably produced in the future. These statements are based on current expectations that involve a number of risks and uncertainties, which could cause the actual results to differ from those anticipated.

Santa Maria Petroleum Inc. Announces Second Quarter 2013 Results

CALGARY, ALBERTA--(Marketwired - Aug. 29, 2013) -

NOT FOR DISTRIBUTION TO U.S. NEWS WIRE SERVICES OR FOR DISSEMINATION IN THE U.S.

Santa Maria Petroleum Inc. (formerly Quetzal Energy Ltd.) (TSX VENTURE:SMQ) announces its unaudited results for the three and six months ended June 30, 2013.

HIGHLIGHTS DURING THE THREE MONTHS ENDED JUNE 30, 2013

On June 7, 2013 Santa Maria announced that it had completed the sale of its 25% oil and gas interest in the Canaguaro Block to Petrominerales Ltd. ("Petrominerales") (TSX:PMG); the transaction was completed on June 7, 2013. Petrominerales paid Santa Maria a total of $US6.0 million in cash for its 25 per cent private participating interest. Certain customary post-completion price adjustments will be completed and all vendor liabilities outstanding on that date will be paid by the end of September 2013. The transaction was first announced on May 6, 2013. On June 13, 2013 Santa Maria remitted $1,875,000 to the operators of Block 21 in Colombia as the third and final installment pursuant to the Amending Agreement to the original Participation Agreement for Block 21. The Company has satisfied its financial obligations in respect of this block and no further funding is required. On February 26, 2013 the operator of Block 21 commenced drilling the Calacho-1 well, the first exploration well on this block and reached total depth of 7,000 feet on March 2, 2013. On March 14, 2013 the operator of Block 21 commenced drilling the Rocamao well, the second exploration well on this block and reached total depth of 7,870 feet on March 27, 2013. Both of these wells were tested during the second quarter of 2013.

The C7 formation in the Calacho No. 1 well was tested. During the test period the C7 formation produced a total of 5,857 barrels of fluid, consisting of 5,669 barrels of water and 188 barrels of 35 degree API oil. The maximum fluid production rate was approximately 1,450 barrels per day. The testing program was ended when the water cut reached 100%. With no further oil production, the operator made the decision to abandon the well.

The C7 formation in the Rocamao No. 1 well was also tested. The C7 formation produced 64 barrels of water in 3 hours at rates that fluctuated between 192 and 336 barrels of fluid per day. Total testing resulted in the production of 329 barrels of water with no oil produced and the decision was made by the operator to abandon the well. With no oil produced, the operator made the decision to abandon the well.

With the abandonment of both the Calacho No. 1 well and the Rocamao No. 1 well, Santa Maria Santa Maria informed the operator that it would not exercise its option to carry on with an interest in the block.

At the annual and special general meeting held in Toronto, Ontario on June 27, 2013 the shareholders approved the continued appointments of Mr. Ron MacMicken, Mr. Andrew DeFrancesco, Mr. Gerry Feldman, Mr. Steve VanSickle and Mr. Doug Manner to the board of directors. The shareholders also confirmed the appointment of MNP LLP as the Company's auditor.

Manitok Energy Inc. Announces Financial Results for the Second Quarter of 2013

CALGARY, ALBERTA--(Marketwired - Aug. 29, 2013) -

NOT FOR DISTRIBUTION TO U.S. NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATES OF AMERICA.

Manitok Energy Inc. (the "Corporation" or "Manitok") (TSX VENTURE:MEI) announces its financial and operating results for the second quarter of 2013.

The full text of Manitok's second quarter report containing its unaudited condensed interim financial statements as at and for the three and six months ended June 30, 2013 and the related management's discussion and analysis will be available electronically on Manitok's profile on the System for Electronic Document Analysis and Retrieval ("SEDAR") at www.sedar.com and also on Manitok's website at www.manitokenergy.com. All dollar figures are in Canadian dollars unless otherwise noted.

Second Quarter 2013 Operational & Financial Highlights:

An increase in average production by 133% to 4,045 boe/d for the second quarter of 2013 from 1,733 boe/d for the comparable period in 2012. Increased the crude oil and NGLs weighting to 52% of total production in the second quarter of 2013 from 22% of total production in the second quarter of 2012. Funds from operations increased by 356% to $11.3 million ($0.16 per share) in the second quarter of 2013 from $2.5 million ($0.04 per share) for the comparable period in 2012. Operating netback increased by 47% to $34.73 per boe for the second quarter of 2013 from $23.60 per boe for the comparable period in 2012 due to the increase of light oil volumes in the total production mix. Achieved strong quarterly per share growth as production and funds from operations per weighted average diluted share increased 100% and 292%, respectively, while decreasing net debt to $9.2 million as at June 30, 2013 from $10.9 million as at June 30, 2012. Total operating costs in the second quarter of 2013 were $6.42 per boe net of recoveries and $7.06 per boe prior to recoveries, which is 27% and 36% lower, respectively, on a boe basis, than the comparable period last year. Transportation and marketing costs were $2.93 per boe, up from $1.87 per boe in the comparable period last year due mainly to the increased proportion of oil production. Manitok's capital expenditures before divestitures for the second quarter of 2013 were $9.6 million, which is down 11% from $10.8 million in the comparable quarter in 2012. Drilled 4 gross (1.5 net) wells in the second quarter of 2013, 3 (1.0 net) in the Stolberg area of Alberta and 1 (0.5 net) in the Cabin Creek area of Alberta. Completed a disposition of royalty interest properties for total cash consideration of $3.3 million. As at June 30, 2013, Manitok had net debt of approximately $9.2 million and unused credit facilities of $90.0 million. Purchased 282,700 shares at an average price of $2.54 in the quarter pursuant to its normal course issuer bid ("NCIB"). Subsequent to the second quarter, the Corporation has acquired an additional 1,087,100 shares at an average price of $2.65 per share under its NCIB program. Increased net income to $4.8 million ($0.07/share) for the second quarter of 2013 from $0.5 million ($0.01/share) for the comparable period in 2012. The income in the second quarter of 2013 included a gain on divestiture of $0.7 million compared to loss on divestiture of $0.4 million in the second quarter of 2012. (1) Funds from operations, funds from operations per share and funds from operations netback are non-GAAP measures that represent cash flow from operating activities as determined in accordance with International Financial Reporting Standards ("IFRS") before changes in non-cash operating working capital and decommissioning expenditures. Funds from operations should not be considered an alternative to, or more meaningful than cash flows from operating activities as determined in accordance with IFRS as an indicator of the Corporation's performance. Funds from operations, funds from operations per share (basic and diluted), and funds from operations netback do not have any standardized meaning prescribed by IFRS and may not be comparable with the calculation of similar measures for other entities.

(2) Working capital deficiency is defined as current assets less current liabilities excluding the current portion of the amount drawn on the credit facilities and the fair value of financial instruments.

Operations

Based on recent field estimates, current corporate production is approximately 4,240 boe/d (47.5% crude oil and condensate, 0.5% NGLs). The field estimates include a contribution of about 300 bbls/d of oil from the four well pad, which was recently drilled in the Stolberg area. The 4 (1.33 net) wells on the pad are expected to be on full production by early October and are anticipated to add another 200 to 300 bbls/d to net production. Manitok is currently drilling 2 (1.5 net) wells at Stolberg. One is the first horizontal well of an expected 2 (1.6 net) well pad targeting Cardium oil on section 29, which has produced over 575,000 bbls of light oil (454,000 net) from 3 (2.4 net) wells over the last 14 months. The second is a liquids rich natural gas well (0.75 net), offsetting a Manitok liquids rich gas well drilled in 2011. That well initially flowed at approximately 5.0 Mmcf/d (3.75 net) with about 10.0 bbls/Mmcf (7.5 net) of wellhead condensate and has produced nearly 3.0 Bcf (2.25 net) of natural gas and approximately 22,000 bbls (16,500 net) of condensate over the course of about two years. The current drill will intersect the same Ostracod pool and is ultimately targeting a repeat of the same zone about 100 to 250 metres deeper. If successful, Manitok intends to produce the two zones separately within the same wellbore.

Normal Course Issuer Bid

As of today, Manitok has purchased a total of 1,369,800 shares for approximately $3.6 million (average price of $2.62 per share) in 2013, pursuant to its NCIB programs. Management believes that with potential acquisition values ranging from 5 to 7 times next year's projected funds from operations, buying Manitok shares at less than 3 to 4 times next year's projected funds from operations under its NCIB program is advantageous to Manitok shareholders with a longer term view.

2013 Guidance

Assuming drilling success based on Manitok's expected outcomes and applied risk parameters, Manitok expects to exit 2013 with production ranging from 5,300 to 5,500 boe/d (approximately 55% to 57% crude oil and condensate, 0.5% NGLs), which would be a 40% to 45% increase over the 2012 exit production rate. At that production level, funds from operations is estimated to be $5.7 to $6.0 million per month, which would be an increase of approximately 50% over the 2012 exit funds from operations rate. It is anticipated that there will be an additional 400 to 500 boe/d of production (about 85% crude oil) added in the first quarter of 2014 where the majority of the capital expenditures relating to that production will be incurred in the fourth quarter of 2013.

Manitok has increased its 2013 capital expenditure budget by 7% to approximately $76.0 million or $72.6 million net of dispositions. This is an increase of $5.0 million to the previously guided $71.0 million which was made up of $63.0 million for drilling, completions, tie-ins and equipping and $8.0 million for land and seismic. The increased $76.0 million of capital expenditures is made up of $70.0 million of drilling, completions, tie-ins and equipping and $6.0 million of land and seismic. The updated forecast includes 19 (12.1 net) wells with all but 2 (1.75 net) targeting Cardium light oil predominantly in the Stolberg area and also in the Cabin Creek and Quirk Creek areas. The first of the two wells not targeting Cardium is a vertical liquids rich natural gas well targeting an Ostracod pool (mentioned in the operations section above) and the second is an exploration well targeting an oil zone other than the Cardium in a new area. The increased capital budget will be financed with funds from operations and Manitok's existing $90.0 million credit facilities with the National Bank of Canada.

Average production in 2013 is expected to range between 4,200 to 4,400 boe/d (approximately 52% crude oil and condensate, 0.5% NGLs), which would be an increase of 76% to 84% over its 2012 average production. Manitok anticipates funds from operations to be $48.0 to $50.0 million, which is lower than the previous guidance of $55.0 to $57.0 million. However, it still results in an anticipated increase of over 150% from funds from operations in 2012. The main reasons for the decrease are timing delays of new production additions due to drilling four wells on one pad versus drilling four wells on two pads, lower working interests in wells than previously budgeted due to a pooling agreement, and a lower oil weighting than anticipated, decreasing from 57% to 52% on total production for 2013, due mostly to adding a liquids rich gas well to the 2013 drilling program in lieu of an additional Cardium oil well. Manitok would like to caution the readers that changes to the drilling and production schedules may be necessary from time to time in order to capture value from new opportunities or gain efficiencies in its operations. Given the relatively low number of drills Manitok will execute in a one year period and the potentially high initial production rates associated with these wells, these changes may initially have a negative short term impact to funds from operations; however that does not materially change the ultimate value created over the life of the well.

After adjusting for the increased capital expenditures in 2013 and the shares purchased through our NCIB, net debt at the end of 2013 is now expected to range between $38.0 to $40.0 million. The net debt to twelve month trailing funds from operations ratio is anticipated to be about 0.8 times as at December 31, 2013 and the net debt to the exit funds from operations rate ratio is anticipated to be about 0.6 times as at December 31, 2013.

The 2013 re-forecasted budget assumes an average price of US$99.00/bbl of WTI crude oil, an average differential of $6.00/bbl, an average $CAD/$US exchange rate of 1.03 and an average price of $3.08/mmbtu of AECO natural gas which results in about a $3.60/mcf realized field price due to heat content. For 2013, royalties, combined operating and transportation costs net of recoveries, general and administrative expenses ("G&A") and interest are expected to average approximately $16.09, $9.06, $3.42 and $0.47 per boe respectively. The average operating netback for 2013 is anticipated to be approximately $34.28/boe, with a range of $23.85/boe at the beginning of the year to $43.34/boe at year end. The average funds from operations netback (operating netback, net of G&A and interest), is anticipated to be approximately $30.39/boe, ranging from $18.27/boe at the beginning of the year to $40.57/boe at year end.

Details regarding Manitok's hedging activities are available in Manitok's unaudited condensed interim financial statements as at and for the three and six months ended June 30, 2013 and the related management's discussion and analysis which will be available electronically on Manitok's profile on the System for Electronic Document Analysis and Retrieval ("SEDAR") at www.sedar.com and also on Manitok's website at www.manitokenergy.com.

Manitok's anticipated capital expenditures and estimated production results are based upon various assumptions as to equipment availability, well production rates, well drainage areas, success rates, timing and costs of future well drilling, the availability of capital, future costs and availability of labour and services.

Management Addition

The Corporation is extremely pleased to announce the appointment of Ms. Yvonne McLeod as Vice-President, Drilling and Facilities. Ms. McLeod has been with Manitok for about 18 months, most recently as our Drilling Manager and has proven she has the technical expertise, leadership skills, integrity and passion to be an excellent member of Manitok's executive team.

About Manitok

Manitok is a public oil and gas exploration and development company focusing on conventional oil and gas reservoirs in the Canadian foothills. Manitok's corporate strategy is that of being an "early mover" in the exploitation phase of the development life cycle of hydrocarbon reserves in the Canadian foothills. The Corporation will continue to utilize its experience and expertise to develop the untapped conventional sweet oil and liquids-rich natural gas pools in this large and under-exploited region of the Western Canadian Sedimentary Basin.

Forward-looking Statements

This press release contains forward-looking statements. More particularly, this press release contains statements concerning planned capital expenditures, the breakdown of planned capital expenditures by class, the anticipated 2013 average and exit rates of production, anticipated funds from operations, the anticipated year end net debt and debt to trailing funds from operations and the development and growth potential of Manitok's properties.

The forward-looking statements in this press release are based on certain key expectations and assumptions made by Manitok, including expectations and assumptions concerning the success of future drilling and development activities, the performance of existing wells, the performance of new wells, the successful application of technology, prevailing weather conditions, commodity prices, royalty regimes and exchange rates and the availability of capital, labour and services.

Although Manitok believes that the expectations and assumptions on which the forward-looking statements are based are reasonable, undue reliance should not be placed on the forward-looking statements because Manitok can give no assurance that they will prove to be correct. Since forward-looking statements address future events and conditions, by their very nature they involve inherent risks and uncertainties. Actual results could differ materially from those currently anticipated due to a number of factors and risks. These include, but are not limited to, risks associated with the oil and gas industry in general (e.g., operational risks in development, exploration and production; delays or changes in plans with respect to exploration or development projects or capital expenditures; the uncertainty of reserves estimates; the uncertainty of estimates and projections relating to production, costs and expenses; and health, safety and environmental risks), uncertainty as to the availability of labour and services, commodity price and exchange rate fluctuations, unexpected adverse weather conditions and changes to existing laws and regulations. Certain of these risks are set out in more detail in Manitok's current Annual Information Form, which is available on Manitok's SEDAR profile at www.sedar.com.

The forward-looking statements regarding Manitok's expected 2013 funds from operations are included herein to provide readers with an understanding of Manitok's anticipated funds from operations and Manitok's ability to fund its expenditures based on the assumptions described herein. Readers are cautioned that this information may not be appropriate for other purposes.

Forward-looking statements are based on estimates and opinions of management of Manitok at the time the statements are presented. Manitok may, as considered necessary in the circumstances, update or revise such forward-looking statements, whether as a result of new information, future events or otherwise, but Manitok undertakes no obligation to update or revise any forward-looking statements, except as required by applicable securities laws.

Non-GAAP Financial Measures

This press release contains references to measures used in the oil and natural gas industry such as "funds from operations", "funds from operations netback", "funds from operations per share", "operating netback", "working capital deficiency (surplus)" and "net debt". These measures do not have any standardized meanings prescribed by generally accepted accounting principles ("GAAP") and therefore, reported amounts may not be comparable to similarly titled measures reported by other companies. These measures have been described and presented in this press release in order to provide shareholders and potential investors with additional information regarding Manitok's liquidity and its ability to generate funds to finance its operations.

Funds from operations should not be considered an alternative to, or more meaningful than, cash provided by operating, investing and financing activities or net earnings as determined in accordance with IFRS, as an indicator of Manitok's performance or liquidity. Funds from operations is used by Manitok to evaluate operating results and Manitok's ability to generate cash flow to fund capital expenditures and repay indebtedness. Funds from operations or funds from operations netback denotes cash flow from operating activities as it appears on the Corporation's Statement of Cash Flows before changes in non-cash operating working capital and decommissioning expenditures. Funds from operations or funds from operations netback is also derived from net income (loss) plus non-cash items including deferred income tax expense (recovery), depletion and depreciation expense, exploration and evaluation expense, impairment expense, stock-based compensation expense, accretion expense, acquisition-related expenses, unrealized gains or losses on financial instruments and gains or losses on asset divestitures. Funds from operations per share denotes funds from operations divided by the weighted average number of shares outstanding. Operating netback denotes petroleum and natural gas revenue and realized gain (loss) on financial instruments less royalty expenses, operating expenses and transportation and marketing expenses. Working capital deficiency (surplus) includes current assets less current liabilities excluding the current portion of the amount drawn on the credit facilities and the fair value of financial instruments. Manitok uses net debt as a measure to assess its financial position. Net debt includes current liabilities less current assets excluding the current portion of the fair value of financial instruments.

Barrels of Oil Equivalent

The term barrels of oil equivalent ("boe") may be misleading, particularly if used in isolation. Per boe amounts have been calculated using a conversion ratio of six thousand cubic feet of natural gas (6 mcf) to one barrel of oil (1 bbl). This boe conversion ratio of 6 mcf to 1 bbl is based on an energy equivalency conversion method primarily applicable at the burner tip and does not represent a value equivalency at the wellhead. Given that the value ratio based on the current price of crude oil as compared to natural gas is significantly different from the energy equivalency of 6:1, utilizing a conversion on a 6:1 basis may be misleading as an indication of value.

WesternZagros Announces Second Quarter 2013 Operational and Financial Results

CALGARY, ALBERTA--(Marketwired - Aug. 29, 2013) -

NOT FOR DISTRIBUTION TO U.S. NEWSWIRE SERVICES OR DISSEMINATION IN THE UNITED STATES

WesternZagros Resources Ltd. (TSX VENTURE:WZR) ("WesternZagros" or "the Company") announced today its operating and financial results for the second quarter ended June 30, 2013, and additional key highlights and activities to date. A summary of the activities, the financial statements the accompanying Management Discussion and Analysis ("MD&A") are available at www.westernzagros.com and on SEDAR at www.sedar.com.

Commenting on the second quarter results and subsequent events, WesternZagros's Chief Executive Officer, Simon Hatfield said,

"We're continuing testing in the Kurdamir-3 well to provide valuable information on the Kurdamir Discovery as we progress towards commerciality and to help us plan future well locations. In addition, our two Garmian wells, Baram-1 and Hasira-1, are drilling with completion anticipated in late Q4 2013 and early Q1 2014, respectively. Hasira-1 will help us in our development plans for our Sarqala Discovery. The timing of declaration of commerciality and submission of development plans are actively in discussion with our partners and will represent a major step for our Company. We have also completed our first 3D seismic program at Sarqala and the second, our North Garmian, is underway. This is a busy year for WesternZagros."

Exploration and Appraisal Operations - Kurdamir Block

Testing of the Oligocene reservoir in the Kurdamir-3 well is ongoing with final results anticipated in late third quarter 2013 or early fourth quarter 2014. As operator of the Kurdamir-3 well, Talisman (Block K44) B.V. ("Talisman") has conducted two DSTs in the deepest zones of the Oligocene reservoir at Kurdamir-3. Log and sample analysis obtained from testing to date has warranted the testing of two other intervals in the upper zones of the Oligocene reservoir. Interim test results from Kurdamir-3 have increased the risk associated with the undiscovered Prospective Resource assessment that the Company carries for the Kurdamir Oligocene reservoir. The acquisition of the Kurdamir Block 3D seismic survey, which comprised 184 square kilometers, has been completed in order to define more clearly the areal extent of the Oligocene, Eocene and Cretaceous reservoirs. Processing and interpretation of the data are currently underway with completion anticipated in the first quarter of 2014. The results will be utilized to select the location of the Kurdamir-4 well to further appraise the extent of the oil discovery in the Oligocene reservoir.

Exploration and Appraisal Operations - Garmian Block

The Baram-1 well was spudded on August 13, 2013 and is preparing to drill ahead after setting 20 inch casing at 816 metres. This well is exploring whether the Baram structure is a separate structure from Kurdamir or a potential extension of the oil leg discovered in the Oligocene reservoir of the Kurdamir structure onto the northern portion of the Garmian Block. The Company expects the well to be drilled to planned total depth of 3,800 metres by the end of 2013. If successful (the extension is confirmed and it is oil bearing) the Company believes that this could be the highest impact well of the 2013 drilling program, with the potential to add substantial contingent resources in both the Garmian Block and in the Kurdamir Block. The interim results of Kurdamir-3 testing increase the risk associated with the undiscovered Prospective resource assessment for the Baram-1 well. Alternatively, the Baram structure may be separated from the Kurdamir structure by a fault, in which case the Kurdamir-3 well results have no material impact on the chance of success of Baram-1. The Hasira-1 appraisal and exploration well is currently drilling ahead at 2,886 metres after setting 16 inch casing at 2,047 metres. The next casing point is planned for approximately 3,900 metres just above the Jeribe reservoir. The well is planned to drill to a total depth of approximately 4,100 metres in the Oligocene reservoir. WesternZagros plans to complete the well either in the Jeribe or the Oligocene reservoir depending on testing results. Hasira-1 is anticipated to be completed in late fourth quarter 2013 or early first quarter 2014. The acquisition phase of the 2D seismic survey over the Chwar and Alyan prospects and the 3D seismic survey over the Sarqala and Mil Qasim oil discoveries and the Zardi Complex prospect was completed on April 8, 2013, on time and on budget. Processing and interpretation of the data are currently underway and expected to be completed in the fourth quarter, 2013. The acquisition phase of the 3D seismic survey over the northern portion of the Garmian block commenced on August 6, 2013 in order to define more clearly the areal extent of the Baram and Qulijan structures. Acquisition is anticipated to be completed in the third quarter with processing and interpretation completed by the end of the year. The Company is also beginning to prepare for future exploration wells, with the Qulijan well site prepared and long lead items ordered. Preliminary interpretation and technical evaluations are underway of the Chwar Prospect in the southwest of the Garmian Block, the Alyan Prospect in the west of the Block and the Qula Prospect on the southeast of the Block, Qula is in close proximity to Genel Energy plc's Chia Surkh oil discovery on the adjacent block. The Company will determine its 2014 drilling program in the fourth quarter 2013.

Planning and Development (Garmian and Kurdamir Blocks)

Design work is underway on future development plans for the WesternZagros oil discoveries in the Sarqala and Kurdamir areas. On the Garmian Block, the preliminary engineering design of the Sarqala-1 first phase central processing facility with 20,000 bbl/d capacity is advancing. WesternZagros is in active discussions with its co-venturer Gazprom Neft Middle East B.V. ("Gazprom Neft") regarding the timing of the Declaration of Commerciality for the Sarqala discovery. WesternZagros and Gazprom Neft have formed a dedicated team to plan the phased development of the Sarqala Discovery. On the Kurdamir Block, Talisman has staffed a dedicated team which has commenced development planning and the joint venture has created a sub-committee to focus on designing the development plan for the Kurdamir Discovery. Subject to the extended test results from the Kurdamir-3 well and the interpretation of the 3D seismic, the Kurdamir Joint Venture is contemplating a Declaration of Commerciality for the Kurdamir structure by the second quarter of 2014. The Company and its co-venturers continue discussions with the Kurdistan Regional Government ("KRG") to advance plans for the utilization of natural gas from both the Garmian and Kurdamir Blocks. Gas conservation studies are ongoing for pipeline routing, gas re-injection options to maximize oil recovery, and options for temporary and permanent power generation.

Financing

On April 4, 2013 the Company completed a marketed private placement of 11,431,422 common shares with Crest Energy International LLC ("Crest") of Houston, USA, and Jasmine Capital (a wholly-owned subsidiary of Richard Chandler Corporation) at Cdn$1.25 per common share for gross proceeds of $14.1 million. This followed the non-brokered private placement of 51 million common shares at Cdn$1.25 per common share and the entering of a loan agreement with Crest for $57.5 million. The net proceeds of the marketed private placement of $13.5 million were used to repay $13.3 million of the principal amount of the loan from Crest plus $0.2 million of accrued interest. On June 18, 2013, the Company completed a non-brokered private placement of Cdn$70 million aggregate principal amount of 4.00% Convertible Senior Unsecured Notes of WesternZagros ("Convertible Notes") to investment funds managed by Paulson & Co. Inc. Effective June 28, 2013 the Company completed a second non-brokered private placement of Cdn$30 million aggregate principal amount of Convertible Notes. A portion of the proceeds from the private placements were used to repay the remaining Crest debt of $44.5 million plus accrued interest as per the terms of the loan agreement with the balance to be used to fund the Company's capital and operating activities. All of the Convertible Notes issued in the second quarter of 2013 have a face value of Cdn$1,000 per note, a coupon of 4 percent per annum, a maturity date of December 31, 2015 and are convertible into common shares of the Company ("Common Shares") at the option of the holder at a conversion price of Cdn$1.45 per share (subject to adjustment in certain events), representing a conversion premium of approximately 27 percent to the thirty day average price for the Common Shares prior to issuance of the Convertible Notes. As at June 30, 2013, WesternZagros had $167.4 million in working capital, excluding the $16.9 million additional non-current portion of the deposit held in trust pertaining to the drilling contract. The Company is fully funded for its currently planned activities.

Corporate

The Company is considering the optimal timing to pursue admittance to the Standard Listing segment of the Official List of the London Stock Exchange ("LSE") in order to provide access to an alternate market with a strong understanding of the Middle East and particularly Kurdistan focused companies. On June 3, 2013, Ms. Mary Benassi was appointed to the position of Vice President Human Resources with responsibility for WesternZagros's overall Human Resources function.

Outlook

In accordance with the Kurdamir and Garmian PSCs, the end of the exploration periods are September 1, 2014 and December 31, 2014, respectively, after which the development periods begin. On the Kurdamir Block, the Company's focus will continue to delineate the existing 943 MMBOE of unrisked gross contingent resources (combined mean estimate ("Gross Mean Contingent Resources") and an estimated 1.6 billion BOE of unrisked gross prospective resources (combined mean estimate) ("Gross Mean Prospective Resources"). On the Garmian Block, the Company's focus will be on exploration and appraisal drilling to delineate the following estimated Gross Mean Prospective Resources: 527 MMBOE on the Baram prospect and 463 MMBOE on the Sarqala Discovery. In addition, WesternZagros's work program on the Garmian Block over the next 18 months will also include exploration activities to rank, prioritize and drill the highest ranked additional prospects prior to the end of the exploration period. This ranking will be based on the results of the North and South Garmian Seismic Programs (2D and 3D), the 2013 drilling results from the Company's planned wells on the Garmian and Kurdamir Blocks and other operators' well results on neighbouring blocks. Possible prospects for future exploration drilling in 2014 include Qulijan, Qula, Chwar, and Alyan. At the same time, the Company has started discussions with its respective co-venturers with respect to timing of declaring commerciality and submitting development plans. Subject to the completion of the exploration and appraisal programs, WesternZagros anticipates issuing Declarations of Commerciality before the end of the Exploration period on the Kurdamir and Garmian Blocks of September 1, 2014 and December 31, 2014, respectively.

Kurdamir Block

The Company continues to work with the operator, Talisman, to appraise the giant Kurdamir discovery. Activities in the second half of 2013 will focus on further testing at Kurdamir-3, the processing and interpretation of the 3D seismic, analysis and integration into reservoir models of the data from Kurdamir-3 acquired to date (including cores, log data, oil samples, and water samples), and the preparation and planning required for a declaration of commerciality in 2014 and the start of field development. The remaining tests at Kurdamir-3 will be conducted on the upper part of porous zone of the Oligocene reservoir which was oil-bearing in Kurdamir-2 and which is more than 87 meters below the depths of the gas-oil contact as seen in Kurdamir-2. This testing is anticipated to be completed early in the fourth quarter.

Planned expenditures for the remainder of 2013 include approximately $12-$17 million for the Kurdamir-3 testing program (including the costs of DST#1 and #2 estimated at $7-8 million), $4 million for the remainder of Kurdamir 3D seismic program and processing costs, and $4-8 million for preparation and planning for declaration of commerciality and field development. Contingent projects during 2013 may also include $9 million for a potential Kurdamir-3 sidetrack.

Garmian Block

Sarqala-1 Extended Well Test ("EWT")

WesternZagros expects to recommence the EWT at Sarqala upon KRG approval to gain additional information in order to appraise the discovery for future development. Upon receipt of KRG approval, and the procurement of a suitable rig and tubular equipment, the Company also plans to complete a workover of the Sarqala-1 well in the first half of 2014 in order to allow future EWT production capability to increase beyond the current 5,000 bbl/d. Long lead items have been ordered for this workover.

Engineering work is also underway for permanent facilities to increase EWT production capability at Sarqala including gas conservation measures. In particular, preliminary engineering design of the Sarqala first phase permanent facilities with 20,000 bbl/d capacity is underway in readiness to request engineering procurement and construction tenders at the appropriate time. Work is continuing on opportunities to utilize the associated natural gas from any future crude oil production to minimize the flaring of natural gas.

Hasira-1 Exploration and Appraisal Well

The Hasira-1 appraisal and exploration well was spudded on June 6, 2013 and is currently drilling ahead at 2,886 metres after setting 16 inch casing at 2,047 metres. WesternZagros plans to complete the well either in the Jeribe or the Oligocene reservoir depending on drilling and testing results. Hasira-1 will appraise the extent of the oil leg previously encountered in the Jeribe reservoir, targeting 25-50 MMBOE of Gross Mean Prospective Resources, at the Sarqala-1 well and also to explore the deeper Oligocene reservoir, targeting a further 25-50 MMBOE of Gross Mean Prospective Resources. Significant oil shows were encountered in the Oligocene interval at Sarqala-1 but the Company was unable to evaluate them at that due to wellbore conditions. The Company expects Hasira-1 to take approximately seven months to drill.

Baram-1 Exploration Well

The Baram-1 well was spudded on August 13, 2013 to explore the potential extension of the oil leg discovered in the Oligocene reservoir of the Kurdamir structure onto the northern portion of the Garmian Block. The Company expects the well to reach the planned total depth of 3,800 metres by the end of 2013. If successful and it is oil bearing, the Company believes that this could be the highest impact well of the 2013 drilling program with the potential to add substantial contingent resources in both the Garmian Block and in the Kurdamir Block.

The completion of either Baram-1 or Hasira-1 in 2013 would fulfill the Company's obligations under the second exploration sub-period of the Garmian PSC, prior to any extension of such sub-period.

Garmian Seismic Programs

WesternZagros has completed the acquisition phase of a 3D seismic appraisal survey over the Sarqala, Mil Qasim and adjacent Zardi Complex structures as well as the 2D seismic survey at the Chwar and Alyan prospects which are to the north and west-northwest of Sarqala to elevate these low risk, Jeribe oil opportunities to drill ready status. The Company will utilize the 3D information to optimize the number and placement of future appraisal and development well, improve its understanding of fracturing within these structures and further evaluate the Jeribe, Oligocene, Eocene and Cretaceous reservoirs on the southern portion of the Block.

The Company is conducting a 3D seismic program in the second half of 2013 over the northern portion of the Garmian Block targeting the Baram and Qulijan structures utilizing the seismic crew from the Kurdamir/Tophkana program. The 3D data over Baram will assist in determining whether Baram is an extension of the existing Kurdamir Oligocene discovery or a separate structure.

Planned expenditures for the remainder of 2013 include $20 million for the Hasira-1 well, $20 million for the Baram-1 well $4 million for the Sarqala planning and predevelopment activities, $ million for long leads for future wells, $10 million for the planned North Garmian 3D seismic program and $3 million for other costs.

Forward-looking information typically contains statements with words such as "anticipate", "plan", "estimate", "expect", "potential", "could", or similar words suggesting future outcomes. The Company cautions readers not to place undue reliance on forward-looking information as by its nature, it is based on current expectations regarding future events that involve a number of assumptions, inherent risks and uncertainties, which could cause actual results to differ materially from those anticipated by WesternZagros. In addition, the forward-looking information is made as of the date hereof, and the Company assumes no obligation to update or revise such to reflect new events or circumstances, except as required by law.

Forward-looking information is not based on historical facts but rather on management's current expectations and assumptions regarding, among other things, plans for and results of drilling activity and testing programs, future capital and other expenditures (including the amount, nature and sources of funding thereof), continued political stability, and timely receipt of any necessary government or regulatory approvals. Although the Company believes the expectations and assumptions reflected in such forward-looking information are reasonable, they may prove to be incorrect. Forward-looking information involves significant known and unknown risks and uncertainties. A number of factors could cause actual results to differ materially from those anticipated by WesternZagros including, but not limited to, risks associated with the oil and gas industry (e.g. operational risks in exploration; inherent uncertainties in interpreting geological data; changes in plans with respect to exploration or capital expenditures; interruptions in operations together with any associated insurance proceedings; the uncertainty of estimates and projections in relation to costs and expenses and health, safety and environmental risks), the risk of commodity price and foreign exchange rate fluctuations, the uncertainty associated with negotiating with foreign governments and risk associated with international activity. For further information on WesternZagros and the risks associated with its business, please see the Company's Annual Information Form dated March 22, 2013, which is available on SEDAR at www.sedar.com.

In addition, statements relating to "resources" contained herein are deemed to be forward-looking statements, as they involve the implied assessment, based on certain estimates and assumptions that the resources described can be economically produced in the future. Terms related to resource classifications referred to herein are based on the definitions and guidelines in the Canadian Oil and Gas Evaluation Handbook which are as follows. "Prospective resources" are those quantities of petroleum estimated, as of a given date, to be potentially recoverable from undiscovered accumulations by application of future development projects. Prospective resources have both an associated chance of discovery (geological chance of success) and a chance of development (economic, regulatory, market, facility, corporate commitment or political risks). The chance of commerciality is the product of these two risk components. The estimates referred to herein have not been risked for either the chance of discovery or the chance of development. There is no certainty that any portion of the prospective resources will be discovered. If a discovery is made, there is no certainty that it will be developed or, if it is developed, there is no certainty as to the timing of such development or that it will be commercially viable to produce any portion of the prospective resources. "Contingent resources" are those quantities of petroleum estimated, as of a given date, to be potentially recoverable from known accumulations using established technology or technology under development, but which are not currently considered to be commercially recoverable due to one or more contingencies. Contingent resources have an associated chance of development (economic, regulatory, market and facility, corporate commitment or political risks). The estimates referred to herein have not been risked for the chance of development.

There is no certainty that the contingent resources will be developed and, if developed, there is no certainty as to the timing of such development or that it will be commercially viable to produce any portion of the contingent resources. All resource estimates presented are gross volumes for the indicated reservoirs, without any adjustment for the Company's working interest or encumbrances. A barrel of oil equivalent (BOE) is determined by converting a volume of natural gas to barrels using the ratio of 6 million cubic feet (Mcf) to one barrel. BOEs may be misleading, particularly if used in isolation. A BOE conversion ratio of 6 Mcf:1 BOE is based on an energy equivalency conversion method primarily applicable at the burner tip and does not represent a value equivalency at the wellhead. Given that the value ratio based on the current price of oil as compared to natural gas is significantly different from the energy equivalency of 6:1, utilizing a conversion on a 6:1 basis may be misleading as an indication of value. The Company's Statement of Oil and Gas Information contained in its Annual Information Form dated March 22, 2013 ("AIF") filed on SEDAR at www.sedar.com contains additional detail with respect to the resource assessments and includes the significant risks and uncertainties associated with the estimates and the recovery and development of the resources, and, in respect of contingent resources, the specific contingencies which prevent the classification of the resources as reserves. In addition, combined mean estimates of resources which are presented in this MD&A are an arithmetic sum of the mean estimates for individual reservoirs and each such individual mean estimate is the average from the probabilistic assessment that was completed for the reservoir. Readers should refer to the AIF for a detailed breakdown of the high (P10), low (P90) and best (P50) estimates for each of the individual reservoir assessments.

Blackdog Resources Ltd. Announces Intention to Purchase Two Light Oil Properties in Alberta for $13,000,000

CALGARY, ALBERTA--(Marketwired - Aug. 30, 2013) - Blackdog Resources Ltd ("Blackdog" or the "Company") (TSX VENTURE:DOG) is pleased to announce that it has signed two separate non-binding Letters of Intent (the "LOI's") with two separate arm's length vendors to purchase two light oil properties in Northern Alberta (the "Acquisitions"). Under the terms of the LOI's, Blackdog will purchase both properties for a cumulative total of $13,000,000 in cash. The properties ("Property A and Property B") currently produce between 260-275 boepd (97% light oil).

Blackdog intends to purchase the first property ("Property A") from a Public Company ("Pubco"). Property A has both Operated and Non Operated wells that the Company will purchase. On average the Company will have a 25-50% W.I. in the wells it is purchasing. Property A is located in a different area of Northern Alberta than Property B. The oil produced at Property A comes from 3 different formations, the Granite Wash, Gilwood and Slave Point. All of these oils are high quality light oils that demand prices very close to listed Edmonton Par pricing. The Company has identified multiple low cost, low risk re-entries into existing well bores where it expects to yield high returns for low capital investment.

Netbacks are determined by deducting royalties, production expenses and transportation and selling expenses from oil and gas revenue. Netbacks are per boe measures used in operational and capital.Allocation decisions from Daily Oil Bulletin August 28, 2013.

Blackdog intends to purchase the second property ("Property B") from a Private Company ("Privco"). Property B is a 6% Non Operated Working Interest ("W.I.") in an emerging light oil play in Northern Alberta. Blackdog will be acquiring a full 6% W.I. in over 300 sections of land, all facilities, pipelines, seismic and other associated assets. The oil produced at this property is also a high quality Gilwood oil that demands prices very close to Edmonton Par pricing. Property B currently has over a dozen producing wells with all wells tied into pipelines for both oil and water shipping and disposal. The property is fully electrified resulting in very low operating costs. In excess of 30 possible future drilling locations have been identified by the Operator of the property. The current production from the property in July, 2013 based on field reports provided by Privco was 105 boepd (95% light oil). Blackdog will be obtaining a reserves evaluation report with respect to Property B prepared in accordance with NI 51-101 in due course.

David A. Corcoran, President of Blackdog stated, "Blackdog is very pleased to have identified and negotiated deals on both of these high quality light oil properties. The Company believes that by assembling multiple producing light oil properties with reduced risk but additional running room for growth and excellent financial metrics, it will be able to attract required funding from financial institutions and investors and enhance shareholder value. The successful closing of these Acquisitions would cause Blackdog to become a larger entity with higher rates of production, stronger cash flows and reserves and provide a clear roadmap for future growth."

Each of the Acquisitions remain subject to completion of due diligence, financing, board approval by both parties and the execution of definitive purchase and sale agreements, as well as approval by the TSX Venture Exchange. Blackdog intends to announce the details of the proposed financing for the Acquisitions in due course. Both Acquisitions are expected to be completed in October 2013.
